Terms and Conditions/ Privacy
YOU MUST BE AT LEAST 18 YEARS OLD TO USE THE TOP 20 NETWORK SERVICE.
This is a legal agreement ("Agreement") between you and Top 20 Inc. (the "Company"). Please take the time to read the Agreement before registering for the Company's online network services at http://www.Top20Network.com (the "Service"). By registering, you become a member of the Service (a "Member"), and you agree to be bound by the terms and conditions of this Agreement (the "Terms") for as long as you continue to be a Member.
The following Terms are subject to change by the Company at any time, effective upon notice to you (which notice shall be deemed to have been received upon the posting of an updated Agreement on the Service). Minors may not become members. You represent and warrant that you are at least 18 years old by becoming a Member.
Your membership to the Service is for your sole, personal use. You may not authorize others to use your membership, and you may not assign or otherwise transfer your account to any other person or entity.
User Representations, Warranties, Covenants and Online Conduct.
As a Member, you agree that:
(1) You are solely responsible for the content or information you publish or display (hereinafter, "post") on the Service or transmit to other members of the Service.
(2) You will not post on the Service, or transmit to other members or employees of the Company, any defamatory, inaccurate, abusive, obscene, profane, offensive sexually oriented, threatening, harassing, racially offensive, or illegal material, or any material that infringes or violates another party's rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity).
(3) You will provide the Company with accurate, current and complete information (including, without limitation, email contact information) about yourself as prompted by our registration forms ("Account and Contact Information"), and to maintain and update such Account and Contact Information to ensure that it is accurate, current and complete. In the event that the Company attempts to contact you by email (at the current email address you have provided in your Account and Contact Information) and you do not respond to such email within 30 days, it shall be conclusively presumed that the email address you have provided is either inaccurate or no longer current.
(4) You will use the Service in a manner consistent with any and all applicable laws and regulations. You will not include in your profile any offensive anatomical or sexual references, or offensive sexually suggestive or connotative language, and you will not post any photos containing nudity. You also acknowledge that you are the sole owner of your “.edu” address, and it has been assigned to you by a Top 20 Network top 20 university or college. In addition, you agree not to submit information to the Top20Network.com that you are not willing to share with other members of the site. The Company reserves the right, but has no obligation, to reject any profile or photo that does not comply with these prohibitions.
(5) You will not engage in advertising to, or solicitation of, other members to buy or sell any products or services through the Service. You will not transmit any chain letters or junk email to other users of the Service. Nor will you post, distribute or reproduce, in any way other users information. To do so will result in your immediate expulsion from the site without a refund and we reserve the right to hold you liable for any and all damage to customer loyalty and the Top20Network.com brand.
(6) You will not post, distribute or reproduce, in any way, any copyrighted material, trademarks, or other proprietary information without obtaining the prior consent of the owner of such proprietary rights.
(7) You are solely responsible for your interactions with other users of the Service. The Company reserves the right, but has no obligation, to monitor disputes between you and other users of the Service.
(8) Any telephone numbers, street addresses, last names, URLs or email addresses, or any other information is the sole responsibility of you the user. Any events, damages, profits, or losses which occur as a result of information you provide are solely your responsibility. Top 20 Network is not responsible for users who post inaccurate information in their profiles. Members are encouraged to verify any claims or content posted by other users before acting or reacting to that content.
(9) The Company reserves the right to purge, suspend, or delete any Registration or Account Data from the Service and delete any accounts if at any time the Company deems this action necessary.
INDEMNITY BY MEMBER. You will defend, indemnify, and hold harmless the Company, its parents, subsidiaries, officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorneys' fees) relating to or arising out of your use of the Service, including, without limitation, (i) any breach by you of the Terms, (ii) any allegation that any materials that you submit to the Company or transmit to the Service infringe or otherwise violate the copyright, trademark, trade secret or other intellectual property or other rights of any third party and/or (iii) any other activities in connection with your use of the Service. This indemnity shall be applicable without regard to the negligence of any party including, without limitation, any indemnified person.
ONLINE CONTENT. Opinions, advice, statements, offers, or other information or content made available through the Service are those of their respective authors, and not of the Company, and should not necessarily be relied upon. Such authors are solely responsible for such content. The Company does not guarantee the accuracy, completeness or usefulness of any information on the service and neither adopts nor endorses nor is responsible for the accuracy or reliability of any opinion, advice, or statement made. Under no circumstances will the Company be responsible for any loss or damage resulting from anyone's reliance on information or other content posted on the Service or transmitted to users of the Service.
WARNING - PLEASE READ: It is possible that other users of the Service (including unauthorized users, or "hackers") may post or transmit offensive or obscene materials on the Service and that you may be involuntarily exposed to such offensive and obscene materials. It also is possible for others to obtain personal information about you due to your use of the Service, including, but not limited to your email address, and that the recipient may use such information to harass or injure you. User should not assume that any information is completely inaccessible by other members or "hackers". The Company is not responsible for the use of any personal information that you may choose to disclose on the Service as a result of the registration process and that may be discovered by other members and non-authorized third parties "hackers". While effort is given to protecting users account information, please carefully select the type of information that you post on the Service or otherwise release to others.
The Company reserves the right, but has no obligation, to monitor the materials posted in the public areas of the Service. The Company shall have the right, in its sole discretion, to remove any such material, including, without limitation, material that violates, or is alleged to violate, the law or this Agreement. Notwithstanding this right of the Company, you remain solely responsible for the content of the materials you post in the public areas of the Service and your private communications.
PROPRIETARY RIGHTS. The Company owns and retains other proprietary rights in the Service. The Service contains the copyrighted material, trademarks, and other proprietary information of the Company and its licensors. In addition, other users may post copyrighted information, which has copyright protection whether or not it is identified as copyrighted. Except for that information which is in the public domain or for which you have been given permission, you will not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information.
By posting information or content to any public area of the Service, you automatically grant, and you represent and warrant that you have the right to grant, to the Company, an irrevocable, perpetual, non-exclusive, fully-paid, worldwide license to use, copy, perform, display and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sublicenses of the foregoing.
INFORMATION SUPPLIED BY MEMBER. The personal information you provide the Company (including sensitive personal information) will be stored on computers. You consent to the Company's (and its affiliates') using this information to build a profile of interests, preferences and browsing patterns and to allow you to participate in the Service. You agree to the Company using any and all information stored to deliver you customized content. You also agree to read, review, comply with, uphold and maintain the Company's privacy policy and the terms and conditions thereof. If you are located outside of the United States, please note that the information you provide is being sent to a Company located within the United States and in the State of Delaware. By becoming a member of the Service, you consent to your data being sent to the Company and to such other third parties and jurisdictions as may be involved in the provision and operation of the Service.
FEES AND PAYMENTS.
(1) Continuous Service Membership: Paid membership in the Service is on a continuous service basis. This means that once you have become a subscribing (paying) Member, your subscription will be automatically renewed and your credit card will be charged based on the payment period (annual, biannual, quarterly, monthly, etc.) you have chosen. Credit card charges are processed by PayPal, after a paid membership period is selected.
(2) Cancellations: You may cancel your paid membership by sending an email to billing@top20network.com. You will not be given a refund under any circumstance.
(3) Subscription costs, rates and related fees may be changed by us at any time and each renewal of your subscription will be at the then-standard renewal rate for the payment period you originally selected when you subscribed.
COMPLAINTS. To resolve a complaint regarding the Service, you should first contact customer support at support@top20network.com.
DISCLAIMER OF WARRANTIES. The Company provides the Service on an "as is" basis and grants no warranties of any kind, express, implied, statutory, in any communication with The Company, or its representatives, or otherwise with respect to the Service. The Company specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Company, does not warrant that your use of the Service will be secure, uninterrupted, always available, or error-free, or will meet your requirements, or that any defects in the Service will be corrected.
LIMITATION OF LIABILITY. In no event will The Company, be liable (i) to you for any incidental, consequential, or indirect damages (including, but not limited to, damages for loss of data, loss of programs, cost of procurement of substitute services or service interruptions) arising out of the use of or inability to use the Service, even if the Company, or its agents or representatives know or have been advised of the possibility of such damages or (ii) to any person other than you. Notwithstanding anything to the contrary contained herein, the Company's liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to the Company, for the Service during the continuous term of your active membership. WE DO NOT CONDUCT BACKGROUND CHECKS OR OTHERWISE SCREEN THE MEMBERS REGISTERING TO THE SERVICE IN ANY WAY. AS A RESULT, WE WILL NOT BE LIABLE FOR ANY DAMAGES, DIRECT, INDIRECT, INCIDENTAL AND/OR CONSEQUENTIAL, ARISING OUT OF THE USE OF THIS SERVICE INCLUDING, WITHOUT LIMITATION, DAMAGES ARISING OUT OF COMMUNICATING AND/OR MEETINGS WITH OTHER MEMBERS OF THE SERVICE, OR INDIVIDUALS INTRODUCED TO YOU VIA THE SERVICE. SUCH DAMAGES INCLUDE, WITHOUT LIMITATION, PHYSICAL DAMAGES, DEATH, BODILY INJURY AND OR EMOTIONAL DISTRESS AND DISCOMFORT. IN ADDITION, THE COMPANY DISCLAIMS ALL LIABILITY, REGARDLESS OF THE FORM OF ACTION, FOR THE ACTS OR OMISSIONS \OR MISREPRESENTATIONS OF OTHER MEMBERS OR USERS (INCLUDING UNAUTHORIZED USERS, OR "HACKERS") OF THE SERVICE.
COPYRIGHT POLICY. You will not unlawfully transmit copyrighted material without a license, express consent, valid defense or fair use exemption to do so. If you submit user content to the Service, whether articles, images, stories, software or other copyrightable material, you must ensure that such content does not infringe the copyrights nor other rights of third parties (such as privacy or publicity rights). You will not use the Service as an instrument of unlawful copyright infringement. We may also, in our sole discretion, decide to terminate your rights to use or access the Service prior to that time if we have a good faith belief that an alleged infringement has occurred.

TERMINATION. Either you or the Company may terminate your membership at any time, for any reason, effective upon sending notice to the other party. In addition, the Company may, but is not obligated to, terminate your membership or subscription, without notice, if you breach or fail to comply with any of the Terms. Upon termination, you shall not be entitled to a refund of any fees previously paid, and the Company shall not be entitled to collect any fees not previously paid, by you.
GENERAL PROVISIONS. This Agreement is governed by the laws of the State of Delaware
Privacy
This statement discloses the privacy practices for the Top20Network.com website. The purpose of this statement is to notify you of what personally identifiable information of yours will be collected and/or tracked by the Top20Network.com site, how it will be used, and what options are available to you regarding the collection, correction and/or deletion of information.
Top20Network.com is a membership-based online network directory service designed to provide an easy way for members to network with each other on the Web. To accomplish this, members create their own unique profiles and technology provides them search and contact abilities based on their search criteria. In order to do this, we must ask for certain personal information, which may or may not include: customer-specified Top20Network.com username, gender, age, ethnic background, occupation, interests information and geographic location. This information is used by visitors for searching and networking purposes. Much of this information is optional, and public profile information supplied by the user is intended to be viewed by visitors to the site. AGGREGATE INFORMATION NOT DIRECTLY SUBMITTED BY USERS TO TOP20NETWORK.COM
This is information we collect that is personally identifiable, such as browser type and IP address. This information is gathered for all users to the site. Top20Network.com also logs IP addresses for systems administration purposes. IP addresses are logged to track a user's session. This gives Top20Network.com an idea of which parts of our site users are visiting. We may sell, rent, share, trade or give away any of your aggregate information, unless required by law or for the protection of your membership. We reserve the right to monitor certain pages of our Web site for the purpose of reporting web traffic, statistics, advertisement 'click-throughs', and/or other activities on our site. Where authorized by us, we may use cookies, Web beacons, and/or other monitoring technologies to compile anonymous statistics on our Web site visitors.
SURVEYS AND CONTESTS
From time-to-time our site requests information from users via surveys or contests.
